
Register a limited partnership |
You do not need to register a partnership unless it is either an incorporated limited partnership (ILP) or limited liability partnership.
Partnership types
A limited liability partnership exists between two or more people, where at least one person is a general partner and at least one is a limited partner.
An incorporated limited partnership is a more complex agreement between partners. These partnerships usually relate to international venture capital investment, particularly in biotechnology and information technology. See Incorporated limited partnerships.
Register an unincorporated limited liability partnership
To register:
- complete Partnership Act Form 1 - Application for registration of limited partnership (PDF, 418 KB)
- ensure it is signed by all partners (limited and general)
- attach any required evidence or other documentation
- pay the prescribed fee of $120.00
- lodge the application (see form for lodgement details).
Register an incorporated limited partnership
Only the following can apply for registration for an incorporated limited partnership:
- a partnership which is a Venture capital limited partnership (VCLP), Early stage venture capital limited partnership (ESVCLP) or an Australian venture capital fund of funds (AFOF)
- a general partner in the partnership or proposed general partner in the proposed incorporated limited partnership which intends to be registered as a VCLP, ESVCLP or AFOF under the Commonwealth Venture Capital Act 2002
- a partnership that is a venture capital management partnership (VCMP)
- the partners in the partnership or the proposed partners in the proposed incorporated limited partnership who intend to meet the requirements for recognition as a VCMP under the Commonwealth Income Tax Assessment Act 1936.
To register:
- complete Partnership Act Form 5 - Application for registration of incorporated limited partnership (PDF, 437 KB)
- ensure it is signed by all partners or proposed partners (limited and general) or someone on their behalf
- attach any required evidence or other documentation
- pay the prescribed fee of $650.00
- lodge the application (see form for lodgement details).
